Terms of service

These Terms govern bookings with GRAYCARD LLC, doing business as "GRAYCARD" ("GRAYCARD," "we," or "us")."

Studio and Equipment Rental

The GRAYCARD Studio Rental Agreement shall govern the rental and use of GRAYCARD’s shooting floor, studio premises, and any related studio equipment made available to the Producer. Subject to the terms of the applicable invoice and this Agreement, GRAYCARD grants the Producer a limited, non-transferable, non-exclusive right to access and use the designated studio space during the rental period specified in the invoice.

During the approved rental term, the Producer may enter the rented studio premises, bring authorized personnel, crew, talent, vendors, production equipment, props, and related materials, and conduct photography, filming, recording, and other approved production activities within the rented studio space. The Producer shall have the right to photograph, film, record, and otherwise capture content within the rented studio area solely in connection with the permitted production use.

Nothing in this Agreement shall be construed as creating a leasehold interest, tenancy, ownership right, or right of exclusive possession in favor of the Producer. All use of the studio premises and equipment shall remain subject to GRAYCARD’s rules, restrictions, safety requirements, insurance requirements, and any additional terms set forth in the Studio Rental Agreement or applicable invoice.

Booking Time, Minimum Rental Periods, and After-Hours Use

All studio rentals shall be booked and billed in one-hour increments. Each studio rental is subject to a minimum rental period of two hours. The rental period shall include all time required for access, load-in, setup, production activities, breakdown, cleanup, load-out, and vacating the premises. Any use of the studio outside the scheduled rental period, including early arrival, late departure, overtime, or after-hours access, shall be subject to GRAYCARD’s prior approval and may result in additional charges at the applicable hourly, overtime, or after-hours rate.

Capacity limits: Studio occupancy shall not exceed fifteen individuals at any time, including all cast, crew, clients, guests, and vendors. The Producer is responsible for ensuring compliance with this limit, and GRAYCARD may deny entry or require removal of any person if the limit is exceeded or safety concerns arise.

Photo and Video Production Rates

Studio rental rates shall be based on the package selected by the Producer, as set forth in the applicable agreement or invoice. All quoted rates are exclusive of any 3.5% processing fee, as well as any applicable cleaning, security, storage, overtime, or other additional fees incurred in connection with the rental.

Liability and Indemnification

The Producer shall be solely responsible for any damage to GRAYCARD Studio, its equipment, furnishings, fixtures, common areas, and surrounding premises caused by the Producer, its personnel, guests, invitees, agents, vendors, or subcontractors.

The Producer agrees to indemnify, defend, and hold harmless GRAYCARD Studio, its owners, officers, employees, agents, and representatives from and against any and all claims, losses, costs, damages, liabilities, expenses, personal injury, property damage, or legal fees arising out of or related to the Producer’s use of the studio, production activities, or the acts or omissions of the Producer or any persons under the Producer’s control or invitation.

Insurance and Certificate of Insurance

The Producer assumes full responsibility and liability for any and all damage to the studio premises, equipment, and surrounding site. Prior to accessing the studio, the Producer must satisfy one of the two options below.

  • Option A — Producer Provides Insurance (Certificate of Insurance)
  • Option B — Producer Does Not Provide Insurance (Liability Waiver & Release)

Prohibited Activities and Substances

The following are strictly prohibited on the premises at all times:

  • Firearms, explosives, live ammunition, fireworks, and pyrotechnics
  • Open flame, combustibles, or fire effects without the proper permit(s) and prior coordination with GRAYCARD
  • Illegal drugs and controlled substances, and any unlawful activity

No alcohol may be served or consumed without prior written approval; unauthorized alcohol or any drug use will result in a fine of $500 per incident in addition to immediate termination of the rental without refund. No smoking or vaping is permitted anywhere in the studio. No person who is intoxicated or under the influence of any illegal substance will be admitted.

Cleaning, Damage, and Return of Premises

The Producer shall leave the studio in the same condition in which it was received, including removing all equipment, props, materials, and trash before the end of the rental term. Light, ordinary cleanup is expected of every Producer. If the studio requires more than ordinary cleaning, a cleaning fee starting at $150 (scaled to the work required) will be charged.

Damage to or excessive wear of any cyclorama wall, cove, or floor will be billed at GRAYCARD’s then-current repaint/repair rates. The Producer is responsible for the full cost of repairing or replacing any damaged premises, equipment, furnishings, fixtures, or surrounding property, whether caused by the Producer or by the Producer’s personnel, crew, talent, guests, vendors, or invitees.

Set, Furniture, and Equipment Integrity

Wall-mounted décor, artwork, large furniture, and built-in set pieces may not be moved or removed. Small movable items (such as chairs, books, vases, or small props) may be repositioned with care and must be returned to their original location before the rental term ends; failure to do so will result in a moving/reset fee.

Cycloramas, coves, and seamless floors must be protected from damage; the Producer and its crew shall not walk on cove edges, climb on, or hang from any set wall. Any studio equipment made available is provided for use within the rented space only and must be returned undamaged.

Backdrop and Seamless Paper Fees

Use of paper backdrops or seamless paper is charged at $6 per linear foot used — measured from the lower edge of the backdrop to the point at which it is cut off — or $75 for a full seamless paper roll. These charges are in addition to the rental rate and are applied based on actual usage.

Pre- and Post-Rental Inspection

The studio is inspected by GRAYCARD immediately before and immediately after each rental. By booking, the Producer accepts GRAYCARD’s post-rental inspection as the basis for assessing any cleaning, reset, repair, or replacement charges, which may be charged to the Producer’s payment method on file.

Conduct, Removal, and Right to Refuse Service

The Producer shall not act, and shall not permit any person under the Producer’s control to act, in a manner that adversely affects the safe and peaceful operation of the studio or the building. GRAYCARD may, in its sole discretion, remove or deny entry to any person who is disruptive, unprofessional, unsafe, or apparently under the influence of alcohol or any substance, and may terminate the rental without refund for serious or repeated violations. GRAYCARD reserves the right to refuse service to anyone.

Minors, Guests, and Responsibility

Any minor on the premises must be supervised at all times by a parent or legal guardian. The Producer is solely responsible for the conduct, safety, and welfare of all personnel, crew, talent, clients, guests, vendors, and invitees, and is liable for their actions and any resulting damage or injury. The Producer is responsible for ensuring all participants are of legal age for the content being produced; GRAYCARD assumes no responsibility for verifying the age or identity of any participant.

Animals and Pets

No animals or pets are permitted in the studio without GRAYCARD’s prior written consent. Where approved, the Producer remains fully responsible for the animal’s behavior, any required handling, and any resulting cleaning or damage.

Noise, Music, and Sound

The studio is not soundproof. Music and audio must be kept at reasonable levels and must not contain content that is unlawful or unreasonably disruptive to neighboring tenants. Live music or amplified performance must be approved by GRAYCARD in advance. The Producer shall comply with all applicable building rules and local noise ordinances.

Filming Restrictions, Privacy, and Confidentiality

The Producer may photograph, film, and record only within the rented studio space. The Producer shall not film, photograph, or record common areas, hallways, the building exterior, GRAYCARD staff, or other clients or their productions. The Producer shall not disclose the identity of, or any information about, other GRAYCARD clients (including any public figures who may be present) to any third party except as required by law.

Storage and Abandoned Property

The Producer may store equipment, props, and materials only within the rented studio and only during the rental term. GRAYCARD is not responsible for any property left on the premises. Property remaining after the end of the term may be charged at the prevailing hourly rate for the space it occupies, and may be removed, stored, or disposed of at the Producer’s expense.

Security

GRAYCARD may, at its sole discretion and based on the nature, size, or risk profile of a production, require additional on-site security personnel. Any such requirement, and its associated cost, will be communicated to the Producer in advance and billed in addition to the rental fee.

Payment and Deposits

Payment in full, equal to 100% of the rental balance, shall be due at the time of reservation or booking. All deposits and payments made toward the rental are non-refundable and non-transferable. Any extension of the rental beyond the scheduled end time must receive prior written approval from GRAYCARD Studio. If the Producer remains in possession of the studio or continues use of the premises for more than one hour beyond the scheduled end time without such approval, GRAYCARD Studio reserves the right to retain or forfeit the security deposit, in addition to charging any applicable overtime, after-hours, or related fees.

Taxes

Studio space and equipment rental charges are quoted and billed separately. The studio space rental is a lease of real property, and the equipment rental is provided in the same form as acquired by [GRAYCARD LLC]; accordingly, no California sales or use tax is charged or collected on either the studio space or the equipment rental. The prices shown at booking are the total amounts due, with no additional sales tax added. All bookings are rentals only. No booking grants the renter any option or right to purchase any equipment or other property.

Reschedule and Change Requests

All requests to reschedule, modify, or change a studio booking must be submitted in writing to GRAYCARD Studio and shall be subject to approval and availability.

For requests received more than 48 hours before the scheduled rental start time:

  • The first approved change may be made without penalty.
  • A second approved change shall be subject to a transaction fee equal to 10% of the rental amount.
  • Any third or subsequent approved change shall be subject to a transaction fee equal to 15% of the rental amount.

For requests received less than 48 hours before the scheduled rental start time: GRAYCARD Studio may apply a transaction fee equal to 15% of the rental amount. In such cases, the Producer may be required to make a new booking for the requested new date and time, subject to availability and GRAYCARD Studio’s approval.
